Head of Legal & Regulatory

Job Purpose

This role is responsible in leading and managing the Legal and Regulatory Department based on good corporate governance and best business and industry practices. To ensure the company is complying to laws and regulations.

Responsibilities:

To act as in-house counsel and pro-actively minimise legal risk, provide legal advice including the following:
o Review, draft and negotiate contracts with partners, vendors and other third parties
o Review and draft internal policies to ensure legal compliance and to advise on legal implications
o Pro-actively identifying and managing legal risk with a proposal for solution to the management
o Applying entrepreneurial and legal viewpoint in order to mitigate risks
o To be updated on development of local and international laws relevant to the operations of the company
o To carry out relevant legal research relating to company operations
o To liaise with external legal counsel and advisors where necessary
o To manage the day-to-day operations of the legal and regulatory team by providing advice to a broad variety of legal or non-legal areas in a timely fashion.

To provide direction on regulatory matters and to manage relationship with the authority agencies and other relevant external shareholders
o To manage relationship with the regulator on all regulatory and corporate matters
o To manage regulatory compliance issues and to advise the management accordingly
o Review of laws, regulations, policies, guidelines and codes of practice that affects the regulatory regime in the telecommunications sector and other relevant sectors where necessary.

To act as Assistant Company Secretary
o To assist the Company Secretary in advising the Board of Directors in the management of the company through effective legal and corporate governance
o Maintain the company’s registers and ensure timely filing of statutory requirements
o Coordination and facilitation of Board Meetings and General Meetings.

Qualifications and skills required:

o Degree in Law or any equivalent
o At least 6 years’ experience in legal matters
o Has experience in managing legal and regulatory frameworks
o Experience in the telecommunications, media and/or dealing with Government agencies would be an added advantage.
o Coordination and facilitation of Board Meetings and General Meetings.
